Intellectual Property, Authorized Use & Artificial Intelligence Restrictions

1. Ownership of Content and Technology

Unless expressly stated otherwise, Critical Reload, LLC (“Critical Reload”) or its applicable licensors retain all ownership rights and interests in their proprietary educational materials, digital content, software, technology, and other protected intellectual property.

This includes, where applicable, Critical Reload Stream, Edge Certification, Fueling Champions, Boost educational resources, Under The Lights, the Nutrition Calculator, Fueling Planner, and other proprietary programs, platforms, and resources (collectively, “Critical Reload Materials”).

Critical Reload Materials may include videos, recordings, presentations, written lessons, instructional frameworks, quizzes, case studies, graphics, software, source code, proprietary configurations, nonpublic algorithms, compilations, and other protected materials.

Purchasing or receiving access to Critical Reload Materials does not transfer ownership of the underlying intellectual property.

2. Authorized Use

Customers and authorized users receive only the access and usage rights expressly provided through the applicable purchase, subscription, license, or institutional agreement.

Unless otherwise authorized in writing, access is limited to the individual, organization, campus, or other authorized scope identified in the applicable agreement.

Institutional purchases do not automatically authorize use by additional schools, campuses, districts, affiliates, or unrelated organizations.

Any permissions expressly provided in a separate Critical Reload institutional license agreement remain subject to that agreement.

3. Unauthorized Sharing and Distribution

Except as expressly permitted by Critical Reload in writing or by applicable law, users may not:

  • Share account credentials, private access links, or protected materials with unauthorized individuals or organizations.

  • Copy, record, reproduce, republish, distribute, sell, sublicense, or commercially exploit Critical Reload Materials outside the scope of an applicable license.

  • Make paid educational content available through unauthorized websites, learning management systems, file-sharing platforms, or other distribution channels.

  • Use Critical Reload Materials to create or distribute unauthorized commercial courses, certifications, educational libraries, or competing content products.

  • Circumvent access restrictions, account controls, paywalls, licensing restrictions, or reasonable technical security measures.

Authorized users may apply general knowledge and educational principles acquired through Critical Reload programs, subject to applicable intellectual property rights and contractual restrictions.

4. Artificial Intelligence and Automated Content Processing

Except with Critical Reload’s prior written authorization or where otherwise permitted by applicable law or an applicable agreement, users may not use Critical Reload’s nonpublic, paid, licensed, or access-restricted Materials to:

A. Train or develop artificial intelligence systems

Train, fine-tune, evaluate, or develop artificial intelligence models, machine learning systems, or automated content-generation technologies using unauthorized copies, extracts, or collections of Critical Reload Materials.

B. Reproduce proprietary educational products

Use AI or automated tools to reproduce, rewrite, systematically paraphrase, translate, reconstruct, or generate substantially similar versions of protected Critical Reload courses, lessons, case studies, assessments, presentations, videos, or other educational materials for unauthorized distribution or commercial exploitation.

C. Replicate protected software or technology

Extract, reverse engineer, or use unauthorized access to Critical Reload’s nonpublic source code, protected software components, proprietary configurations, or confidential technical information for the purpose of recreating, distributing, or commercially exploiting protected Critical Reload technology, subject to applicable legal exceptions.

D. Build unauthorized competing products from protected materials

Use unauthorized copies or substantial extracts of protected Critical Reload Materials to develop or distribute competing educational programs, certifications, software products, automated coaching tools, or commercial services.

E. Circumvent licensing restrictions

Use AI tools, automated systems, or third-party platforms to bypass subscription requirements, institutional license restrictions, access controls, or other applicable limitations.

5. Permitted Educational and Personal Uses

Critical Reload recognizes the value of responsible technology use in education and professional development.

Unless otherwise restricted by an applicable agreement, users may use information learned through authorized access for personal study, coaching application, educational discussion, and other lawful purposes.

The use of AI tools to assist with individual note-taking, learning, or personal comprehension is not prohibited merely because the user learned general information or principles from Critical Reload.

However, uploading protected materials into external AI platforms may be subject to additional restrictions, especially where the platform retains uploaded information, uses it for model training, or makes it available to other users.

Personal educational use does not authorize the redistribution, systematic extraction, or commercial reproduction of protected Critical Reload Materials.

6. Institutional License Protections

Where Critical Reload Materials are purchased under an institutional license, the rights and restrictions of the applicable institutional agreement continue to apply.

Unless expressly authorized, an institutional license may not be transferred to another school, campus, organization, or facility.

Changes in coaching personnel, administrators, or other staff do not independently transfer institutional licensing rights.

A separately executed institutional agreement controls the specifically negotiated license scope and institutional usage rights to the extent stated in that agreement.

7. Unauthorized Use and Enforcement

Critical Reload reserves the right, consistent with applicable law and contractual obligations, to investigate reasonably suspected violations of its intellectual property and licensing restrictions.

Where justified, Critical Reload may suspend or restrict access, terminate applicable licenses, pursue available contractual remedies, or seek other appropriate legal relief.

Nothing in this section limits rights or exceptions that cannot lawfully be waived, including applicable statutory exceptions relating to copyright or software interoperability.

8. Written Authorization

Organizations or individuals seeking permission to redistribute, incorporate, license, reproduce, or commercially use Critical Reload Materials beyond their existing authorization must obtain prior written approval.
